HSBC Bank plc concluded a CJIP (convention judiciaire d'intérêt public, French deferred prosecution agreement) with the Parquet national financier (PNF, French national financial prosecutor) concerning intra-group dividend arbitrage trading structures run through its Paris branch between 2014 and 2019, which avoided withholding tax on dividends and may be classified as aggravated tax fraud. The bank pays a public interest fine of 267,531,000 EUR; for 2019 it had already paid 34,464,424 EUR in taxes, interest and penalties. Validated on 8 January 2026.

The Openbaar Ministerie (OM, Dutch Public Prosecution Service) imposed a penalty order (strafbeschikking) with a fine of 14 million EUR on ABN AMRO Bank N.V. as an out-of-court settlement. According to investigations by the FIOD (Fiscal Information and Investigation Service), the Dutch subsidiary of a foreign bank had offset a total of 124 million EUR in dividend tax in its corporate income tax returns for 2009 to 2013, although the shares were only parked in the Netherlands briefly around the dividend date; because share and derivative transactions with ABN AMRO or its legal predecessors formed part of this structure, the OM accuses the bank of aiding and abetting from mid-2010 to mid-2013. In setting the amount the OM took into account the gross revenues from the transactions, the bank’s cooperation and the age of the offences.
